1. INTRODUCTION AND ACCEPTANCE
1.1 Introduction
These Terms govern your use of Verriclear’s Website, App, and the purchase of Products. Please read these Terms carefully before using our services or making a purchase.
1.2 Terms Acceptance
By accessing our Website, using our App, creating an account, or making a purchase, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms referenced herein.
1.3 Updates and Changes
Verriclear Natural Skin Essentials Ltd. (Verriclear, we, us, or our) reserves the right to amend, modify, or supplement these Terms at any time. Any changes will be effective and binding immediately upon posting to the Website or App, without requiring additional notice. Updated terms will supersede all prior versions. Your continued use of the Website, App, or Products after such changes constitutes acceptance of the updated Terms. The terms of use are exclusively controlled by Verriclear.
1.4 Definitions
“Terms” means these Terms of Service and Sale. “Website” means Verriclear.com and Verriclear.com.br collectively. “App” means Verriclear’s mobile applications. “Products” means Verriclear skincare and wellness items. “Performance Guarantee” means our commitment to refund 100% of purchase price and provide a 10% credit towards a future product purchase if users do not see or experience verifiable improvement within 90 days of daily use as directed. “Verriclear,” “we,” “us,” or “our” means Verriclear Natural Skin Essentials Ltd., a Limited Corporation organized under the laws of the province of British Columbia, Canada. “Seller” means Verriclear Natural Skin Essentials Ltd. “Buyer” means the purchaser whose name appears on the purchase order. “Natural Variations” refers to expected differences in botanical raw materials’ characteristics, appearance, scent, and other properties due to seasonal and environmental factors beyond our control, including but not limited to weather conditions, harvest timing, and growing conditions. Color intensity and exact shade may vary between batches while maintaining consistent active properties. Such variations are normal and do not affect product efficacy. “Improvement” means visible changes in skin condition, reduction in symptoms, or enhanced effectiveness during specific events, as documented through the App’s tracking features. “Product Categories” means skincare, wellness, and event-specific products as defined in product descriptions and tracking requirements.
2. ACCOUNT AND REGISTRATION
2.1 Account Creation
The Buyer must provide accurate and complete information when creating an account. All information provided during account creation and maintenance must be truthful and kept current.
2.2 Age Requirements
The Buyer must be at least 18 years old. The name of the Buyer will be listed on the order and must match the account holder's identity. Purchases may be made for personal use or as gifts for others.
2.3 Account Security
The account holder is responsible for maintaining the security of their account credentials and for all activities that occur under their account. Users must notify Verriclear immediately of any unauthorized use of their account or other security breaches.
2.4 Account Termination
Verriclear reserves the right to terminate or suspend accounts at its discretion for violations of these terms. Upon termination, all rights granted under these terms will immediately cease.
2.5 Account Management
Customers should keep their shipping and contact information up to date through their account dashboard at verriclear.com. Shipping addresses can be updated during checkout for each order. For address changes after placing an order, customers must contact customer support immediately at support@verriclear.com, as changes must be requested before the order ships. Once an order has shipped, we cannot redirect it to a different address.
Marketing communications preferences, including opting in or out of promotional communications, can be managed through account settings at any time. Customers have complete control over their contact preferences and may update them as needed through their account dashboard.
3. PRODUCTS AND PURCHASES
3.1 Product Descriptions
Product images and descriptions are for illustrative purposes only. While Verriclear strives for accuracy, there may be minor variations between the product and the image on the Website. These variations may include color, packaging, design, and natural variations in botanical ingredients due to seasonal and environmental factors beyond our control. Specifications are subject to change without notice. Verriclear maintains high standards for product representation but acknowledges that actual products may vary slightly from digital representations.
3.2 Pricing
All prices on the Verriclear website are in US dollars (USD). All transactions are processed in USD regardless of your location. Your credit card issuer will convert the USD amount to your local currency at their current exchange rate, which may include additional fees set by your card issuer or bank. Please consult your card issuer for information about their foreign transaction fees and exchange rates.
Verriclear reserves the right to change prices at any time for any reason, including but not limited to: market conditions and economic factors; supplier costs and availability; natural variations affecting raw material availability and characteristics; manufacturing and operational costs; shipping and logistics expenses; currency exchange rate fluctuations; regulatory compliance requirements.
We reserve the right to correct any pricing errors that may occur inadvertently. If a pricing error is discovered, we will notify affected customers and provide options including order cancellation with full refund.
3.3 Availability
Verriclear strives to maintain adequate stock levels of all products. Due to the popularity of certain items and the natural variability of our botanical ingredients, stock availability may change quickly. Product availability may be affected by seasonal harvesting cycles and natural variations in raw materials. While we strive to maintain consistent inventory, certain products may have limited availability during specific seasons. In cases where a product is out of stock, customers will be notified of any backorder situations, and alternative product options may be offered. Customers may choose to join a waitlist for restocking and will be notified when the product becomes available again.
3.4 Order Process
Verriclear may, at its sole discretion, refuse or cancel any order and limit order quantity. Additional qualifying information may be required before accepting or processing any order. Upon receiving an order, Verriclear will send an order confirmation email. Receipt of an order confirmation does not constitute acceptance of the order. Orders are considered confirmed only after processing, and additional information may be requested before final acceptance.
3.5 Payment Terms
Payment for goods must be made in full at the time of order placement, unless otherwise specified on the Checkout Page. All payments are processed in US dollars through our secure payment system, which accepts major credit cards. If payment is not received or rejected, the order may be placed on hold or canceled at Verriclear's discretion. A delinquency charge will be applied at the lesser of 1% per month or the maximum rate permitted by applicable law, accruing until the overdue amount is paid in full.
3.6 Taxes and Fees
The Buyer is responsible for paying all taxes, third-party expenses, and additional charges, including sales tax, shipping fees, processing fees, and import duties for international orders, unless otherwise specified on the Checkout Page. All applicable fees will be clearly displayed before purchase completion. Verriclear collects and remits taxes according to applicable laws in each jurisdiction where we operate.
4. SHIPPING AND DELIVERY
4.1 Shipping Policy
Verriclear reserves the right to accept or decline any order after receiving it. If Verriclear cancels an order after billing, the billed amount will be fully refunded. Products purchased from Verriclear online will be shipped to addresses within our served regions, including the U.S., Canada, and Brazil, subject to applicable local and international export control laws and regulations. The information on this Verriclear Website pertaining to Verriclear's products is intended for use only by customers and health care professionals in our served regions. Other countries may have laws, regulatory requirements, and medical practices that differ from those in our served regions and may require references to different or additional information. Shipping restrictions apply, and we do not ship to P.O. boxes or freight forwarders.
4.2 Delivery Terms and Risk Transfer
The Seller will deliver goods FOB (Free On Board) to the Buyer's address as provided in the shipping instructions, unless otherwise stated on the Checkout Page. Delivery dates are approximate and may vary based on various factors including shipping method, destination, and customs processing for international orders. Title to and risk of loss for the goods transfers to the Buyer upon delivery by the Seller, which occurs at the moment the carrier delivers the package to the specified delivery address. The Buyer assumes all responsibility for the product upon successful delivery.
4.3 International Shipping
International shipping is subject to regional availability and local regulations. International refunds may be impacted by exchange rates, which are subject to fluctuations. Customers are responsible for any customs duties, import taxes, or other fees required by their local jurisdiction. Processing times for international orders may be longer due to customs clearance procedures.
4.4 Tracking and Receipt
Tracking information will be provided when available through our shipping partners. A signature may be required upon delivery to ensure safe receipt of the goods. Customers can monitor their shipment status through their account dashboard or via the tracking information provided in shipping confirmation emails.
5. PERFORMANCE GUARANTEE AND RETURNS
5.1 Performance Guarantee Terms
Verriclear stands behind the quality of our offerings and our commitment to honoring both our values and our relationship with you. While each individual is unique and results may vary, we back each purchase with The Verriclear Performance Guarantee (“Performance Guarantee”): If you do not see or experience verifiable improvement within 90 days of consistent use as directed, or if our product is incompatible with your skin or senses, we will refund 100% of your purchase price and provide a 10% credit towards a future product purchase. Verifiable improvement must be documented through the App’s prescribed tracking methods as detailed in Section 5.5.
5.2 Return Conditions
If you receive your product but choose not to use it, you may return it with its accessories and packaging, along with the original receipt or gift receipt, within 90 days of purchase. Verriclear will process an exchange or refund based on the condition of the returned items and packaging, using the original payment method. Returns must be in resalable condition with all original packaging and components included.
5.3 Refund Process
Upon receiving your returned product, Verriclear will immediately begin processing your refund. Credit and debit card refunds typically process within five business days, though processing times may vary depending on your bank. You will receive a 10% credit towards a future purchase along with your refund. International refunds may be subject to exchange rate variations at the time of processing.
5.4 Product Registration
To qualify for the Performance Guarantee, you must register your product on our site or in our app within 10 days of purchase. Registration ensures we can verify your purchase and maintain accurate records of your product warranty and guarantee status. This registration process helps us provide better support and ensures you receive all applicable product updates and information.
5.5 Progress Tracking Requirements
The Performance Guarantee requires strict adherence to our progress tracking schedule to maintain validity. Users must complete the following documentation based on their product type:
For skin-condition products: initial photo documentation before first use; weekly progress photos of affected areas using consistent lighting and angles; monthly progress assessment submissions through the app; final documentation at the 90-day mark, or until visible improvement is documented, whichever comes first.
For wellness products: initial condition assessment through the app before first use; weekly tracking of relevant symptoms and experiences; monthly progress assessment submissions; final assessment at the 90-day mark, or until improvement in targeted conditions is documented, whichever comes first.
For event-specific products: initial condition assessment through the app before first use; event-specific tracking within 24 hours of each occurrence; documentation of product usage during events; assessment of effectiveness for each tracked event; monthly summary of events and effectiveness; final assessment at the 90-day mark, or once consistent effectiveness is documented, whichever comes first.
Once improvement is reported and documented in the app according to the relevant tracking requirements, no further tracking is required to maintain guarantee eligibility. Failure to maintain the appropriate documentation schedule before improvement is achieved may void the Performance Guarantee. Each tracking milestone must be completed within 24 hours of its scheduled time based on Coordinated Universal Time (UTC) until improvement is documented. The app will provide appropriate reminders for each required documentation step, but compliance is the user’s responsibility. Documentation requirements for new product categories will be provided at time of purchase and through the App. All submitted photos must be in focus, well-lit, unobstructed, and of sufficient quality to clearly document the area being tracked. Blurry, obscured, or otherwise unusable photos may not qualify for Performance Guarantee validation.
5.6 Compatibility Issues and Early Notice Requirement
If the product is incompatible with your skin or senses (e.g., irritation, sensitivity, or aversion to texture or scent), you must notify Verriclear within 14 calendar days of first use to qualify for a refund under the Performance Guarantee. Compatibility-related refund requests submitted after this period may be denied. Prompt notice allows us to investigate, support you with alternatives, and maintain the integrity of the guarantee process.
6. INTELLECTUAL PROPERTY
6.1 Trademarks
All trademarks, logos, and other intellectual property on the Verriclear website are protected by copyright, trademark, and other applicable laws. These marks represent our brand identity and quality standards. Verriclear actively protects its intellectual property rights to maintain the integrity of our brand and products.
6.2 Copyright
All materials on the Verriclear website are exclusively owned by Verriclear and cannot be used without express written permission. This includes but is not limited to text, images, designs, layouts, and digital content. These materials represent significant investment in creating and maintaining our brand presence and product information. Except as permitted by the fair use privilege under applicable copyright laws, you may not upload, post, reproduce, or distribute in any way Content protected by copyright, or other proprietary right, without obtaining permission of the owner of the copyright or other proprietary right.
6.3 License to Use
Verriclear grants users a limited, non-exclusive, and revocable license to access the Verriclear website for personal use only. This license permits viewing and interacting with our website content solely for the purpose of learning about and purchasing Verriclear products. Users may not modify, reproduce, distribute, or otherwise exploit any part of the website's content without prior written consent from Verriclear. Users are granted a limited, revocable, temporary, and nonexclusive right to create a hyperlink to the home page of the Verriclear Website so long as the link does not portray Verriclear, its affiliates, or their products or services in a false, misleading, derogatory, or otherwise offensive manner.
6.4 Restrictions
Users may not create derivative works from our materials or use them in any way that might cause confusion, disparagement, or infringement of Verriclear's rights. The use of meta tags, hidden text, or any other methods containing Verriclear's name, trademarks, or branded terms is prohibited. Any commercial use, reproduction, or distribution of our content is strictly prohibited without explicit written authorization. Verriclear reserves all rights not expressly granted in these terms.
7. USER GENERATED CONTENT
7.1 Content Submission
Users may submit product reviews, testimonials, comments, suggestions, ideas, questions, images, videos, audio recordings, progress photos, and any other content or media to Verriclear, including through our website, mobile app, and user profiles. All submitted content must comply with our content standards, being legal, appropriate, and respectful. Users acknowledge that product experiences may vary due to individual factors and natural variations in botanical ingredients. By submitting progress photos or other documentation, you certify that they are genuine, unedited representations of your results, taken under consistent conditions as specified in the tracking requirements. Photos must be in focus, well-lit, unobstructed, and of sufficient quality to clearly document the area being tracked. Blurry, obscured, or otherwise unusable photos may not qualify for Performance Guarantee validation. Content must not be illegal, obscene, threatening, defamatory, invasive of privacy, infringing upon intellectual property rights, or harmful to third parties. Any content submitted to Verriclear, including but not limited to ideas, suggestions, feedback, photographs, videos, audio recordings, progress tracking data, and profile content, becomes the exclusive property of Verriclear without compensation or attribution to the submitter. Users acknowledge that similar or identical ideas or content may have been previously known to Verriclear, independently developed, or received from other sources. Verriclear has no obligation to maintain any submission as confidential, and submission of any content does not create any confidential relationship or obligation of any kind.
7.2 Content License
By submitting content to Verriclear, users verify ownership of the content and their right to submit it. Users grant Verriclear and its affiliates a nonexclusive, royalty-free, perpetual, irrevocable, and fully Ú right to use, reproduce, modify, adapt, publish, translate, distribute, sell, create derivative works from, and display the content worldwide in any media. This includes permission to redistribute such content while maintaining its authentic form.
7.3 Content Restrictions
All user-generated content must be original, truthful, and respectful of others. Content must not contain malicious, harmful, or discriminatory material. Users must ensure their submissions do not violate any third-party rights or contain any confidential, proprietary, or personal information without proper authorization.
7.4 Content Monitoring and Removal
Verriclear maintains comprehensive rights to monitor and manage user-submitted content. This includes monitoring all submitted content, removing or editing content at our discretion, responding to valid complaints, suspending or revoking posting privileges for terms violations, and exercising full editorial rights over user content. While we maintain these rights, we are not obligated to review all posted content. Our content monitoring ensures a safe and respectful environment for all users while maintaining the quality and integrity of our platform.
8. WEBSITE AND APP USE
8.1 Permitted Use
Verriclear sells and ships products for personal end-use and gifts only. We reserve the right to refuse or cancel any order if we suspect the products are being purchased for resale purposes. Users may browse the site, cache pages for faster browsing, and view content for shopping decisions. We monitor for commercial purchasing behavior and maintain the right to deny or cancel suspicious orders. For wholesale purchasing or business inquiries, interested parties should contact wholesale@verriclear.com.
8.2 Prohibited Activities
Commercial use of the website or its content is expressly prohibited, including the resale of products, collection of data, or any use for business purposes. Users may not download or modify the Verriclear Website or any part of it, except for page caching. Users may not scrape data, exceed normal usage patterns, or engage in any activity that could compromise the integrity of our platform.
8.3 Technical Restrictions and Security
The Verriclear website maintains strict technical security measures to protect our users and platform. Users may not frame or use framing techniques to enclose any Verriclear content without express written consent. Users must not engage in data mining, scraping, automated access, bot usage, or systematic data collection. Any attempt to copy account information for third parties or engage in commercial exploitation is strictly forbidden. The site's structure must be respected, and any attempt to circumvent or modify it is prohibited.
9. PRIVACY AND DATA

10. WARRANTIES AND DISCLAIMERS

As with all natural botanical ingredients, subtle variations may occur between batches due to seasonal and environmental factors beyond our control affecting our source materials. These natural variations do not affect product quality or effectiveness. Beyond these physical product warranties and our Performance Guarantee detailed in Section 5.1, the Seller disclaims additional warranties, whether express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose. While we maintain rigorous quality standards in our manufacturing processes, individual results from product use may vary.
10.2 Website Warranties
The Verriclear website is provided on an "as is" and "as available" basis. Verriclear makes no representations or warranties of any kind, either express or implied, regarding the website, including but not limited to uninterrupted access, error-free content, or the absence of defects. The website may be subject to interruptions and contain errors, and Verriclear provides it on a best-effort basis.
10.3 Results and Outcomes
While Verriclear stands behind our Performance Guarantee as detailed in Section 5.1, individual results and experiences with our products may vary. The effectiveness and timeline of results can differ based on individual factors, skin conditions, consistency of use, and adherence to recommended application guidelines. Natural variations in botanical ingredients between batches may occur, as these ingredients are influenced by seasonal and environmental factors beyond our control. Users should carefully review our Performance Guarantee terms and tracking requirements to ensure eligibility for the guarantee.
10.4 Regulatory and Healthcare Notice
YOU SHOULD NOT USE THE INFORMATION CONTAINED ON THE VERRICLEAR WEBSITE FOR DIAGNOSING A HEALTH PROBLEM OR PRESCRIBING A MEDICATION. YOU SHOULD CAREFULLY READ ALL INFORMATION PROVIDED BY THE MANUFACTURERS OF THE PRODUCTS ON OR IN THE PRODUCT PACKAGING AND LABELS BEFORE USING ANY PRODUCT PURCHASED ON THE VERRICLEAR WEBSITE. YOU SHOULD ALWAYS CONSULT YOUR OWN PHYSICIAN OR OTHER QUALIFIED HEALTH CARE PROFESSIONAL BEFORE USING ANY PRODUCT DISCUSSED WITHIN THIS, OR ANY OTHER, WEBSITE. Our products have not been evaluated by the Food and Drug Administration (FDA). While we maintain rigorous quality standards in our manufacturing processes, these products are not intended to diagnose, treat, cure, or prevent any disease. Users should consult with healthcare professionals regarding any medical conditions or concerns.
11. LIABILITY AND INDEMNIFICATION
11.1 Limitation of Liability
Except where prohibited by law, the Seller's liability will be limited to the purchase price of the specific goods that gave rise to the claim. The Seller will not be liable for any indirect, special, consequential, or punitive damages arising out of or relating to this agreement or any transactions it contemplates, whether for breach of contract, tort, negligence, or any other form of action. This includes, but is not limited to, lost wages, lost profits, consequential damages, special damages, punitive damages, or lost opportunity costs. Claims are handled on an individual basis, and compensation is limited to direct damages and actual proven losses. No consequential or punitive damages will be awarded under any circumstances.
11.2 Product Use and Indemnification
Users assume responsibility for properly testing products on a small area before full application and following all provided usage instructions. Users acknowledge they are responsible for checking ingredient lists for known allergies or sensitivities and accept the inherent risks of using skincare products. Users agree to indemnify and hold Verriclear harmless from claims arising from their failure to follow product instructions, their failure to test products as directed, their misuse of the website or products, their violation of these terms, or their unauthorized use of the platform. This includes responsibility for resulting damages and legal expenses. Nothing in this agreement waives users' rights under applicable consumer protection laws.
11.3 Force Majeure
Neither party will be held responsible for failure to perform obligations due to causes beyond their reasonable control. These causes include natural disasters, wars or civil unrest, pandemics or public health emergencies, supply chain disruptions, labor disputes or strikes, government actions or regulations, system outages or technical failures, transportation delays or interruptions, natural variations in botanical raw materials due to seasonal or environmental factors, and other unforeseeable events that materially affect performance. Such events may affect order processing times, delivery schedules, product availability, customer service response times, and website and system availability.
Any delays or failures to perform due to these circumstances will not be considered a breach of this agreement. However, if a force majeure event extends beyond 120 consecutive days, either party may terminate the agreement with written notice, without penalty. In the event of such termination, any pre-paid amounts for undelivered products will be refunded within 30 business days. Verriclear will make reasonable efforts to resume normal operations as soon as practicable and will maintain clear communication about service restoration timelines.
12. DISPUTE RESOLUTION
12.1 Arbitration Requirement
Before initiating any court proceedings, parties agree to submit any dispute arising from or relating to this agreement to binding arbitration in Vancouver, British Columbia, administered by the Vancouver International Commercial Arbitration Centre (VICAC) under its Commercial Arbitration Rules. The arbitration will be conducted by a single arbitrator selected in accordance with VICAC rules. The arbitration proceedings shall be in English. The arbitrator's decision will be final and binding on both parties. Each party will bear its own costs of arbitration, including attorney's fees, and will share equally in the arbitrator's fees. This arbitration requirement does not prevent either party from seeking injunctive relief in cases of urgent need, nor does it preclude users from pursuing claims in small claims court if they qualify.
12.2 Governing Law
These Terms of Use and all aspects of using the Verriclear website are governed by the laws of British Columbia, Canada. All matters concerning interpretation, construction, and enforcement of this agreement shall be subject to British Columbia's contract principles and performance standards, including applicable legal precedents, statutory requirements, and regulatory compliance.
12.3 Jurisdiction
Following unsuccessful arbitration, any disputes arising between users and Verriclear shall be adjudicated exclusively in the courts of Vancouver, British Columbia. This venue is designated as the exclusive forum for all court proceedings related to this agreement. Both parties consent to the personal jurisdiction of these courts for all legal actions and proceedings related to the agreement and its transactions, including enforcement of arbitration awards.
12.4 Time Limitations
No action, including arbitration, arising from or relating to this agreement may be commenced against the Seller more than 90 days after the basis for such a claim could reasonably have been discovered. Claims must be filed in writing to Verriclear with specific details and supporting evidence before this deadline expires. The timely filing of claims is essential for proper resolution of disputes.
12.5 Legal Process
The resolution of disputes will follow established legal procedures, whether through arbitration or court proceedings, including proper notice, valid service, and due process for all parties involved. All conflict resolutions will adhere to the proper legal procedures established by VICAC rules for arbitration and the court system of British Columbia for any subsequent court proceedings.
13. GENERAL PROVISIONS
13.1 Severability
If any term of this agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be reformed automatically, with minimal modification, to ensure legal compliance. The reformation will preserve the original purpose and intent of the provision while ensuring alignment with legal requirements. All other provisions will remain in full effect, continuing to be enforced and effective.
13.2 Waiver
A waiver is only valid when properly documented in writing, signed by authorized representatives, and explicitly stated. No waiver will be implied from delays, omissions, or inaction. Any failure to exercise a right does not prevent its future exercise. Even if a right is waived in a specific instance, all other rights, powers, privileges, and remedies remain intact for future use.
13.3 Assignment
Rights and obligations under these Terms may not be assigned or transferred without Verriclear's prior written consent. Any attempted assignment or transfer without such consent will be void. Verriclear may assign its rights and obligations under these Terms without restriction.
13.4 Entire Agreement
These Terms of Use represent the complete and final understanding between you and Verriclear regarding your use of the Verriclear website and products. This agreement supersedes and replaces all previous versions of terms and conditions, voiding any prior or contemporaneous agreements, negotiations, or representations between you and Verriclear. It consolidates all conditions into a single, comprehensive arrangement and finalizes all terms related to your use of the website and products.
13.5 Communications and Notices

For service processes, notices must be properly addressed and delivered according to legal requirements. Verriclear may communicate official notices through verified email addresses, registered mail, or other traceable delivery methods that provide proof of receipt.
